Starting your own Toddler Sense business

This Agreement is made between:

Lee Whitwell, t/a WOW Thames Valley West, registered office: 523 Chickerell Road, Weymouth, Dorset, DT3 4DH

and

the Prospective Franchise Candidate whose name and address are entered in the form below.

The purpose of this Agreement is to allow the parties to share confidential information relating to potential franchise opportunities within WOW World Group programmes, including but not limited to Baby Sensory, Toddler Sense, Mini Professors and Reading Fairy.

This information is shared solely for the purpose of exploring a possible business relationship.

Confidential Information may include, but is not limited to:

• Business and financial information
• Training and operational materials
• Marketing strategies and systems
• Customer and territory information
• Pricing structures
• Business processes and know how
• Any documents, presentations or materials shared during the recruitment process

The Recipient agrees to:

• Keep all Confidential Information private and secure
• Not share Confidential Information with any third party without written permission
• Only use the information for the purpose outlined in this Agreement
• Take reasonable steps to prevent unauthorised disclosure

The Recipient may share information with professional advisers such as accountants or solicitors, provided they also understand the confidential nature of the information.

This Agreement does not apply to information which:

• Is already publicly available
• Becomes publicly available through no breach of this Agreement
• Was already known by the Recipient before disclosure
• Is required to be disclosed by law

If requested, the Recipient agrees to return or permanently delete confidential documents and materials shared during the recruitment process.

All materials, systems, branding and content shared remain the intellectual property of WOW World Group and/or the relevant programme brand.

No licence or ownership rights are granted under this Agreement.

This Agreement shall remain in force for a period of 2 years from the date signed.

This Agreement is governed by English law and subject to the jurisdiction of the English courts.
